EnthiosHub — Organizer Agreement

This Organizer Agreement ("Agreement") is a binding electronic contract between the Company and any person or entity that creates, lists, or hosts Events on EnthiosHub (the "Organizer", "You"). It supplements the Terms & Conditions. By onboarding as an Organizer or publishing an Event, You accept this Agreement.

1. Relationship of the Parties#

1.1. EnthiosHub is a technology intermediary and, for payment collection, a limited collection agent of the Organizer. EnthiosHub is not a co-organizer, sponsor, guarantor, or seller of Your Event.

1.2. You are an independent contractor and the sole provider of Your Event. Nothing herein creates a partnership, joint venture, agency (beyond the limited collection role), or employment relationship.

2. Organizer Eligibility & Verification (KYC)#

2.1. You must be legally competent and authorized to organize the Event and to enter this Agreement.

2.2. Identity and bank verification (KYC) is completed through the Company's Payment Partner (Razorpay) as part of connected-account onboarding. You authorize the Payment Partner to verify Your identity, business, and bank details. You must complete KYC before publishing paid Events and before receiving any settlement.

2.3. You must keep Your account, contact, tax (GST), and settlement information accurate and current.

3. Your Obligations#

You represent, warrant, and undertake that You will:

3.1. Provide accurate, complete, and non-misleading Event information (title, description, date, venue, pricing, inclusions, refund policy).

3.2. Hold and maintain all licences, permits, approvals, and insurances required for the Event (including venue, safety, fire, police, municipal, music/entertainment, and any sector-specific approvals).

3.3. Deliver the Event as described and honour all commitments to Attendees.

3.4. Publish and honour a clear refund/cancellation policy, and fund all refunds attributable to Your Event.

3.5. Comply with all Applicable Law, including consumer-protection, tax (GST), IP, data-protection (DPDP), and public-safety laws.

3.6. Handle Attendee personal data received through the Platform only for the purpose of delivering the Event, as an independent Data Fiduciary, and in compliance with the DPDP Act.

3.7. Not list fake, fraudulent, unlawful, infringing, or prohibited Events, or engage in ticket price manipulation.

3.8. Obtain all rights/consents for any Content (logos, images, media, speaker likenesses) You upload.

4. Payments, Fees & Settlement#

4.1. Attendee payments are collected via the Payment Partner. The Organizer's share is settled to the Organizer's connected/verified account through the Payment Partner's split mechanism, subject to the Payment & Settlement Policy.

4.2. The Company deducts its Platform Fee/commission (plus applicable gateway charges and GST on such fee) as disclosed to You. The Platform Fee is non-refundable.

4.3. The Company may withhold, delay, freeze, or reverse settlement where fraud, chargeback, dispute, refund obligation, policy violation, or legal order applies, and may maintain a rolling reserve against refunds/chargebacks.

4.4. Taxes: You are solely responsible for charging, collecting, reporting, and remitting all taxes (including GST) on ticket/registration sales to Attendees, and for issuing tax-compliant invoices where required. The Company is responsible only for tax on its own fee, and may collect TCS under Section 52 CGST Act where applicable.

5. Refunds & Cancellations#

5.1. You must promptly process eligible refunds per Your published policy and the Refund & Cancellation Policy. If You cancel or materially change an Event, You must refund or provide an acceptable alternative to Attendees.

5.2. You authorize the Company to facilitate refunds to Attendees from funds attributable to You, including from settlements or reserve.

6. Indemnity by Organizer#

6.1. You shall indemnify, defend, and hold harmless the Company and its directors, officers, employees, and agents from and against all claims, losses, liabilities, damages, penalties, costs, and expenses (including legal fees) arising out of or relating to: (a) Your Event; (b) Your Content; (c) Your breach of this Agreement, the Terms, or any Applicable Law; (d) any injury, death, or damage occurring at or in connection with Your Event; (e) any tax liability arising from Your sales; (f) any Attendee or third-party claim relating to Your Event; and (g) Your handling of personal data.

7. Suspension & Termination#

7.1. The Company may suspend, unpublish, or remove Your Events, freeze settlements, or terminate Your account where fraud, abuse, misrepresentation, safety risk, policy or legal violation, or Attendee harm is suspected, or as required by law.

7.2. Either party may terminate this Agreement on notice, subject to completion of ongoing Events, refunds, settlements, and statutory retention.

8. Liability#

8.1. The Company's liability to You is subject to the limitations in the Terms & Conditions and the Limitation of Liability policy. The Company is not liable for lost profits, lost sales, or Event outcomes.

9. General#

9.1. Governing law: India. Dispute resolution and jurisdiction per the Terms & Conditions (arbitration seat: [YOUR CITY]).

9.2. Survival: Sections 4, 5, 6, 8, and 9 survive termination. Severability, waiver, entire-agreement, and electronic-acceptance provisions of the Terms apply.
