PLEASE READ THESE TERMS CAREFULLY. These Terms & Conditions ("Terms") constitute a legally binding electronic agreement between You and the Company and govern Your access to and use of the EnthiosHub website, applications, and services (collectively, the "Services"). By creating an account, accessing, or using the Services, You accept and agree to be bound by these Terms. If You do not agree, do not use the Services.


1. Definitions#

In these Terms, unless the context requires otherwise:

1.1. "Account" means a registered user account on the Platform.

1.2. "Attendee" / "Participant" / "User" means any person who registers for, purchases a ticket/registration to, or otherwise participates in an Event through the Platform.

1.3. "Organizer" means any person or entity that creates, lists, publishes, manages, or hosts an Event on the Platform and offers registrations, tickets, or participation to Attendees.

1.4. "Event" means any event, conference, workshop, hackathon, Model United Nations (MUN), competition, session, activity, or similar offering listed on the Platform by an Organizer.

1.5. "Content" means any information, text, images, logos, media, submissions, messages, reviews, or other material uploaded, posted, or transmitted through the Platform.

1.6. "User-Generated Content" or "UGC" means Content created or provided by Users or Organizers.

1.7. "Payment Partner" means the third-party payment aggregator/gateway (currently Razorpay) that processes payments, performs Organizer verification (KYC), and facilitates settlement of funds.

1.8. "Platform Fee" means the service/convenience fee and/or commission charged by the Company for use of the Services.

1.9. "Applicable Law" means all laws of India applicable to the Services, including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, the Consumer Protection Act, 2019 and rules thereunder, and all rules, regulations, and guidelines made thereunder.

1.10. Words importing the singular include the plural and vice versa. Headings are for convenience only and do not affect interpretation.


2. Nature of the Platform — Intermediary Status#

2.1. EnthiosHub is a technology platform and an "intermediary" within the meaning of Section 2(1)(w) of the Information Technology Act, 2000. The Platform provides tools that enable Organizers to list and manage Events and enable Users to discover and register for Events.

2.2. The Company is NOT the organizer, host, seller, sponsor, or provider of any Event. The contract for any Event is a direct contract between the Organizer and the Attendee. The Company merely facilitates the discovery, registration, and payment process.

2.3. The Company does not own, control, endorse, verify (beyond stated verification measures), or assume responsibility for any Event, its content, quality, safety, legality, accuracy of description, or the conduct of any Organizer or Attendee.

2.4. The Company acts as a facilitator and, where applicable, as a limited collection agent of the Organizer solely for the purpose of collecting Event fees through the Payment Partner. Funds are settled to the Organizer through the Payment Partner's connected-account/split mechanism.

2.5. The Company avails of the safe-harbour protections available to intermediaries under Section 79 of the Information Technology Act, 2000 and complies with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.


3. Eligibility#

3.1. The Services are intended for persons who are 18 years of age or older and competent to contract under the Indian Contract Act, 1872.

3.2. Persons under the age of 18 ("Minors") may not create an Account or transact independently. A Minor may participate in an Event only through, and with the verifiable consent and supervision of, a parent, legal guardian, or a registering educational institution/organization, which shall be solely responsible for the Minor's participation and shall be deemed the contracting party.

3.3. By using the Services, You represent and warrant that You meet the eligibility requirements, that all information You provide is true and accurate, and that You are not barred from receiving the Services under Applicable Law.

3.4. If You use the Services on behalf of an organization, You represent that You are authorized to bind that organization to these Terms.


4. Electronic Acceptance & Formation of Contract#

4.1. These Terms are an electronic record generated by a computer system and do not require any physical or digital signature, in accordance with Section 10A of the Information Technology Act, 2000.

4.2. You accept these Terms by affirmatively indicating acceptance (e.g., ticking the acceptance checkbox at registration) and/or by accessing or using the Services. The Company records the fact, version, date, time, and IP address of Your acceptance as evidence of a binding agreement.

4.3. Your continued use of the Services following any update to these Terms constitutes acceptance of the updated Terms.


5. Accounts & Security#

5.1. You must provide accurate, current, and complete information when creating an Account and keep it updated.

5.2. You are responsible for maintaining the confidentiality of Your login credentials and for all activity under Your Account. Notify us immediately at support@enthioshub.com of any unauthorized use.

5.3. Account verification may require email and/or phone verification via one-time password (OTP). You consent to receiving OTPs and transactional communications necessary to operate Your Account.

5.4. You must not share, sell, or transfer Your Account, create Accounts by automated means, or impersonate any person or entity.


6. User Roles & Responsibilities#

6.1. Attendees agree to: provide accurate registration information; comply with each Organizer's Event-specific rules; attend and conduct themselves lawfully; and understand that the Organizer — not the Company — is responsible for the Event.

6.2. Organizers agree to be bound additionally by the Organizer Agreement and Event Organizer Responsibilities policy, including obligations to (a) complete verification (KYC) through the Payment Partner, (b) provide accurate Event information, (c) deliver the Event as described, (d) honour the refund/cancellation policy, (e) hold all licences/permits, and (f) comply with all Applicable Law.

6.3. Each User is solely responsible for their own Content and conduct on the Platform.


7. Payments, Fees & Taxes#

7.1. Payments for Events are processed by the Payment Partner. The Company does not store Your full card, bank, or payment-instrument details.

7.2. The total amount payable may include the Event/ticket price, the Platform Fee, payment-gateway charges, and applicable taxes (including GST). The break-up is displayed before You confirm payment.

7.3. The Platform Fee is charged for the Company's technology and facilitation services and is non-refundable, including where the underlying Event fee is refunded, except where a refund of the Platform Fee is required by Applicable Law.

7.4. Ticket/Event prices are set by the Organizer. The Company is not responsible for Organizer pricing.

7.5. Tax: The Organizer is responsible for the correct assessment, collection, and remittance of taxes (including GST) on the sale of tickets/registrations to Attendees. The Company is responsible for taxes only on its own Platform Fee/commission. Where required, the Company may collect tax at source (TCS) as an e-commerce operator under Section 52 of the CGST Act, 2017 and applicable rules.

7.6. All payment-related matters are further governed by the Payment & Settlement Policy and Ticketing Terms.


8. Refunds & Cancellations#

8.1. Refunds and cancellations are governed by the Refund & Cancellation Policy and by the Organizer's Event-specific policy displayed at the time of registration.

8.2. Refund liability rests with the Organizer. The Company facilitates refunds only to the extent of funds attributable to the relevant Organizer and does not itself guarantee, underwrite, or fund any refund.

8.3. The Company may withhold, freeze, or reverse settlement of funds where fraud, chargeback, dispute, policy violation, or legal order is suspected or ordered.


9. User-Generated Content & Licence#

9.1. You retain ownership of Content You submit. By submitting Content, You grant the Company a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, display, and distribute that Content solely for the purpose of operating, providing, and promoting the Services.

9.2. You represent and warrant that You own or have all necessary rights to the Content You submit and that it does not infringe any third-party rights or violate any law.

9.3. You are solely responsible for Your Content. The Company does not endorse and is not responsible for any UGC and may remove or disable access to Content in accordance with the Content Moderation Policy, Community Guidelines, and Acceptable Use Policy.

9.4. Content that infringes intellectual property may be reported and addressed under the Copyright Policy.


10. Intellectual Property of the Company#

10.1. The Platform, including its software, design, "EnthiosHub" name and logo, and all related intellectual property, is owned by or licensed to the Company and protected under Applicable Law. Nothing in these Terms transfers any such rights to You.

10.2. You may not copy, modify, reverse-engineer, scrape, frame, or create derivative works of the Platform except as expressly permitted. Further terms are set out in the Intellectual Property Policy.


11. Prohibited Conduct#

You must not, and must not permit any third party to:

11.1. Use the Services for any unlawful, fraudulent, or deceptive purpose, including listing fake, misleading, or non-existent Events;

11.2. Infringe intellectual property or privacy rights of others;

11.3. Upload malware, or attempt to gain unauthorized access to the Platform or its systems;

11.4. Circumvent, disable, or interfere with security or payment features;

11.5. Engage in money laundering, unauthorized resale/scalping of tickets, price manipulation, or chargeback abuse;

11.6. Post unlawful, obscene, defamatory, harassing, or harmful Content (as detailed in the Acceptable Use Policy);

11.7. Use the Services in breach of Applicable Law.


12. Suspension & Termination#

12.1. The Company may, at its discretion and without prior notice where reasonably necessary, suspend, restrict, hold, or terminate Your Account or access to the Services, and freeze associated funds/settlements, where: (a) You breach these Terms or any policy; (b) fraud, abuse, or unlawful activity is suspected; (c) required by a legal or regulatory order; or (d) necessary to protect Users, Organizers, third parties, or the Company.

12.2. You may terminate Your Account at any time by written request to support@enthioshub.com, subject to completion of pending transactions, settlements, and statutory retention requirements.

12.3. Termination does not relieve You of obligations accrued before termination. Clauses which by their nature should survive (including Sections 7, 8, 9.1, 10, 13, 14, 15, 16, 17, and 18) survive termination.


13. Disclaimers#

13.1. The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by Applicable Law.

13.2. The Company does not warrant that the Services will be uninterrupted, error-free, or secure, or that any Event will occur, meet Your expectations, or be as described by the Organizer.

13.3. The Company is not responsible for the acts, omissions, conduct, safety, legality, or performance of any Organizer, Attendee, vendor, or third party, or for any loss, injury, damage, or dispute arising at or in connection with any Event. Any dispute regarding an Event is between the Attendee and the Organizer.

13.4. Certificates, badges, awards, or credentials issued through the Platform are issued by the relevant Organizer and do not constitute accreditation, endorsement, or certification by the Company.


14. Limitation of Liability#

14.1. To the maximum extent permitted by Applicable Law, the Company, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or opportunity, arising out of or in connection with the Services or any Event, whether based on contract, tort, or otherwise, even if advised of the possibility of such damages.

14.2. To the maximum extent permitted by Applicable Law, the Company's total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the total Platform Fees actually received by the Company from You in respect of the specific transaction giving rise to the claim, or INR 5,000, whichever is lower.

14.3. The limitations in this Section reflect the allocation of risk between the parties and are a fundamental basis of the bargain. This Section is subject to the Limitation of Liability policy.


15. Indemnity#

15.1. You agree to indemnify, defend, and hold harmless the Company and its directors, officers, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) Your use of the Services; (b) Your Content; (c) any Event You organize or attend; (d) Your breach of these Terms or any policy; (e) Your violation of any Applicable Law; or (f) Your violation of any third-party right.

15.2. This indemnity survives termination of these Terms.


16. Force Majeure#

16.1. The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, riots, government action or orders, strikes, failures of telecommunications or payment infrastructure, power failures, or internet outages.


17. Governing Law, Jurisdiction & Dispute Resolution#

17.1. These Terms are governed by and construed in accordance with the laws of India.

17.2. Subject to Section 17.3, the courts at [YOUR CITY], India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

17.3. Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms shall, failing amicable resolution, be referred to and finally resolved by arbitration by a sole arbitrator appointed by the Company, in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be [YOUR CITY], India, and the language shall be English. The award shall be final and binding. This clause does not prevent the Company from seeking urgent interim/injunctive relief from a competent court.

17.4. Details of grievance escalation are set out in the Grievance Redressal Policy and Dispute Resolution Policy.


18. Grievance Redressal (IT Act / Consumer Protection compliance)#

18.1. In accordance with the Information Technology Act, 2000, the Intermediary Guidelines Rules, 2021, and the Consumer Protection (E-Commerce) Rules, 2020, the Company has designated a Grievance Officer:

18.2. Grievances will be acknowledged within 48 hours and resolved within the timelines prescribed under Applicable Law (ordinarily within 15 days, or 1 month for certain complaints). Full details are in the Grievance Redressal Policy.


19. General#

19.1. Amendments. The Company may amend these Terms at any time by posting the updated version with a new "Last Updated" date. Material changes will be notified through the Platform or by email.

19.2. Severability. If any provision is held invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

19.3. Waiver. No failure or delay by the Company in exercising any right constitutes a waiver of that right. No waiver is effective unless in writing.

19.4. Entire Agreement. These Terms, together with the Privacy Policy, Vendor Agreement, Intellectual Property Policy, Limitation of Liability, Platform Disclaimer, and all policies referenced herein, constitute the entire agreement between You and the Company regarding the Services and supersede all prior agreements.

19.5. Assignment. You may not assign these Terms without the Company's prior written consent. The Company may assign these Terms to any successor or affiliate.

19.6. Relationship. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between You and the Company beyond the limited collection-agency role described in Section 2.4.

19.7. Notices. Legal notices to the Company must be sent to legal@enthioshub.com and [REGISTERED ADDRESS]. Notices to You may be sent to Your registered email or displayed on the Platform.

19.8. Language. These Terms are drafted in English, which shall prevail over any translation.
